Terms of Service

Welcome to VibeLedger. By accessing or using our music ERP platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
1. Acceptance of Terms
By creating an account or using VibeLedger, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Software License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use VibeLedger for your personal or internal business purposes.
You may NOT:
- Copy, modify, or distribute the VibeLedger software or code
- Reverse engineer, decompile, or attempt to extract source code
- Sell, resell, sublicense, or rent access to VibeLedger
- Use automated systems (bots, scrapers) to access VibeLedger beyond normal use
- Remove or alter any proprietary notices or labels
3. Prohibited Use & User Conduct
You agree NOT to use VibeLedger to:
- Infringe copyrights: Upload, generate, or distribute music content that you do not own or have rights to
- Violate third-party terms: Use VibeLedger to scrape, harvest, or access third-party services (Suno, DistroKid, etc.) in violation of their terms of service
- Commit fraud: Misrepresent your identity or the origin of music content
- Harm others: Harass, threaten, or defame other users or third parties
- Distribute malware: Upload files containing viruses, malware, or harmful code
- Circumvent security: Attempt to bypass access controls, exploit vulnerabilities, or interfere with the Service
Violation may result in immediate account termination without refund.
4. Intellectual Property Rights
4.1 Our Rights
The VibeLedger name, logo, software, design, documentation, and all related intellectual property are owned by VibeLedger and protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right to use our trademarks without prior written consent.
4.2 Your Rights
You retain full ownership of all music, lyrics, metadata, and creative content you create, upload, or manage through VibeLedger. We claim no ownership over your content. You grant us only a limited license to store, process, and display your content as necessary to provide the Service.
5. Third-Party Services Disclaimer
VibeLedger integrates with or provides tools for use with third-party services including but not limited to:
- Suno.com - AI music generation platform
- DistroKid - Music distribution service
- PayPal - Payment processing
- OpenAI - AI text generation
- Discord - Community platform
Important: VibeLedger is NOT affiliated with, endorsed by, sponsored by, or officially connected to any of these third-party services. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for changes, outages, or issues with third-party services.
6. Subscriptions & Billing
6.1 Subscription Plans
VibeLedger offers Free, Basic, and Premium subscription tiers. Paid subscriptions are billed monthly or annually through PayPal.
6.2 Auto-Renewal
Paid subscriptions automatically renew at the end of each billing period unless cancelled. You authorize PayPal to charge your payment method on each renewal date.
6.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will revert to the Free tier.
6.4 Refunds
Please see our Refund Policy for details. In summary: We do not offer refunds for subscription payments.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIBELEDGER AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from third-party service changes, outages, or discontinuation
- Issues caused by your violation of third-party terms of service
- Any amount exceeding the fees you paid to VibeLedger in the past 12 months
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Indemnification
You agree to indemnify, defend, and hold harmless VibeLedger and its affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
10. Termination
We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, limitation of liability, disclaimer, and indemnification survive termination.
11. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes via email or by posting notice on the Service. Your continued use after changes constitutes acceptance of the modified Terms.
12. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.
